Rules & Regulations:

By submitting your application, each applicant accepts and agrees to all of the rules and regulations of the contest, as a condition of entering the contest and being considered as an applicant, including, but not limited to:

About the Prize Recording:
(1) All copyrights in the final prize recording will be co-owned between Human Factor and the applicant with a 51% ownership to Human Factor and the remaining 49% to the winning applicant.
(2) All copyrights in any compositions co-written by the winning applicant and Human Factor will be co-owned between Human Factor and the prize winner with the same 51/49 split as stated in #1.
(3) All copyrights in any compositions written solely by the applicant will remain owned solely by the applicant.
(4) Each applicant hereby grants to Human Factor a non-exclusive, irrevocable, perpetual, and world-wide license to use in any manner and in any media, solely for purpose of promoting Human Factor and the contest, but not for commercial sale or re-license, the applicant's name, image, voice, biography, likeness, and image, as well as any and all materials submitted to Human Factor as part of the application or final prize recording, including, but not limited to, compositions, recordings, performances, interviews, artwork, and photographs.

About the Entries:
(5) Each song submitted must be contestant's original work. By submitting your entry you guarantee that all compositions and other materials submitted as part of your application and/or later submitted to Human Factor for use in the final prize recording are your original work(s) and shall not violate or infringe the copyright, right of privacy, or any other personal right or property right of any person or entity, or constitute a libel or slander. You indemnify and hold harmless Human Factor, its officers, directors, agents, employees, and assigns, from any and all costs, including reasonable attorney's fees, from any claim, actual or threatened, brought against Human Factor arising from a breach of your guarantee. If you win, you'll be required to sign something that says all this.
(6) Songs may not exceed five (5) minutes in length or 5 MB in size.
(7) Contestant may submit 3 songs online, or 1 CD via physical mail.
(8) Submission fee is non-refundable. Human Factor is not responsible for late, lost, damaged, misdirected, postage due, stolen, or misappropriated entries. Human Factor is not responsible for faulty file uploads accompanying online entries.
(9) Contest is open to amateur and professional artists who write and perform their own songs. Employees of Human Factor, their families, subsidiaries, affiliates, past winners and past clients are not eligible.
(10) All materials including CDs, cassettes, photos, and lyrics will not be returned.
(11) Submission Deadline: All entries must be received no later than midnight on January 16, 2009.

Judging and Finalists:
(12) Winner will be chosen by Human Factor at Human Factor’s sole discretion. Submissions will be judged based on the songs, performance, appearance, and entry text. The quality of production will not be considered. Void where prohibited. All federal, state, and local laws and regulations apply.
(13) Finalists may be asked to provide more information before a winner is chosen. If finalist cannot be reached by e-mail or phone, and does not respond to messages within one week, finalist may be disqualified.

If You Win:
(14) The contest winner will receive an all expenses paid trip to Human Factor Studios to record a 3-song EP with producer Blake Althen. Additional prizes are listed on the official contest site: http://hfproductions.com.
(15) Winner will be notified by e-mail and must sign and return a formal agreement memoralizing the rules and regulations here, including any additional terms and conditions which may be required as a condition of prize acceptance within 14 days of notification date. Failure to sign and return this agreement within 14 days or provision of false/inaccurate information therein will result in immediate disqualification and an alternate winner will be selected. Agreements of winners under 18 years of age at time of award must be countersigned by parent or legal guardian. Agreements subject to verification by Human Factor and its agents.
(16) Winner Announcements: Winner will be announced on February 20, 2009. Human Factor reserves the right to extend the winning announcement date at its own discretion. Announcements will be posted on www.hfproductions.com.

Other Legal Stuff our Lawyer Makes Us Say:
(17) Each applicant shall indemnify and hold harmless Human Factor, its officers, directors, agents, employees and assigns, from and against any claims, loss, damages, injuries, liabilities, costs and expenses, including reasonable attorneys' fees and court costs actually incurred, resulting from or arising out of, wholly or in part, any act or omission of Human Factor, its agents, subcontractors, members or employees.
